CHARTER AND BYLAWS
CHARTER
We, the Radio Control Model Plane Flyers of DeKalb County, a non-profit organization with the desire to promote the welfare of our hobby, do hereby bind ourselves together as an R/C Modeler's Club, and adopt the following Charter and Bylaws for our members and the general public.
ARTICLE I: NAME AND AFFILIATION
This club shall be called the "DeKalb R/C Flyers" Club and shall be chartered with the Academy of Model Aeronautics as an AMA Club.
ARTICLE II: PURPOSE
The purpose of the "DeKalb R/C Flyers" Club is to promote interest in model aviation, to secure and maintain a safe and insurable flying site, and to promote continued growth of our club.
ARTICLE III: ADOPTION OF CHARTER AND BYLAWS
The original Charter and Bylaws shall be adopted by a majority vote of the Board of Directors, subject to amendment and/or change by a quorum vote of total members present at any regularly scheduled meeting of the club. 1. MEMBERSHIP: All persons accepted for membership shall abide by all rules and bylaws duly adopted in accordance with this Charter and Bylaws as adopted and amended and all members must sign a statement that they have read and understand said rules and bylaws. All flying members must possess a valid AMA license. Associate (non-flying) members are not required to possess an AMA license.
2. OFFICERS: The officers of the DeKalb R/C Flyers Club shall consist of a President, Vice-President, Secretary, and a Treasurer. The election of all officers shall be held on the first regularly scheduled meeting in December of each year hereafter, and they shall assume their duties on the first regularly scheduled meeting in January of the following year. They shall serve for one year, or until disqualification, resignation, or death. Disqualification can only be decided by a quorum vote. In the event of prolonged sickness or forced absence of any officer, if such officer's presence is necessary to carry out the club's business, the President may appoint someone to assume pro tem the duties of the absentee or, if the President himself is absent, the body may vote on a pro tem official. The acts of any duly appointed or elected temporary official shall be as binding as those of the regularly elected official.
3. BOARD OF DIRECTORS: The club shall also have a Board of directors. The Board of Directors shall consist of present officers, immediate past President and two or more elected by the members to make the Board of Directors consist of up to seven members.
4. DUTIES OF THE OFFICERS:
THE PRESIDENT
The President shall preside at all meetings of the club, and shall appoint all committees and serve as a member of any committee which he may appoint and on which he considers it necessary or beneficial to the body for him to service. The President shall approve all bills to be paid by the Treasurer.
THE VICE-PRESIDENT
The Vice-President shall preside in the absence of the President and perform all other duties of the President during the President's absence.
SECRETARY
The Secretary shall record the minutes of each meeting; the reports of each committee, do all the necessary correspondence, and at the regular meetings, shall read the minutes of the prior meeting and all correspondence. At the expiration of his term of office, he shall turn all club records over to his successor.
THE TREASURER
The Treasurer shall collect all monies due the club, giving his receipts thereof. At the order of the President, shall keep proper records of all receipts and disbursements, and these shall be available at all times to audit by a committee. All funds shall be kept in a checking account in a local bank as approved by the President and the Treasurer under the name of DeKalb R/C Flyers, and disbursements made thereof by check except for items of petty cash. A petty cash item shall be any item less than $10.00 in amount, which the Treasurer deems more convenient to pay by cash than by check and for which receipt is obtained. It shall not be necessary for the president to approve petty cash items before payments. At the expiration of the Treasurer's term of office, he will turn all club records over to his successor.
5. RIGHT TO VOTE: Every member in good standing shall be entitled to one vote. Good standing means that all monies owed to the club by the member is paid up currently.
6. DEFINITION OF QUORUM: A quorum shall consist of 50% plus one member of the number of members in good standing. A quorum vote shall consist of two thirds of the above number and all action taken by such body shall be binding upon the whole membership. A simple plurality of votes shall constitute a majority on all regular motions except for amendments that are considered in the next article. For items recommended for consideration by the Board of Directors, a quorum will be a majority of members present.
7. AMENDMENTS: The Charter and Bylaws shall be only by a quorum vote. Voting shall be done in person. Any change in any section of the Bylaws is considered an amendment. DEKALB R/C FLYERS CHARTER AND BYLAWS PAGE 2
8. STANDING COMMITTEES: The President shall appoint two standing committees; one on safety, the other on field maintenance. He shall also appoint any other committees as he shall see fit. The board of Directors may serve as all or part of any committee at the discretion of the President.
9. DUES: Entrance fees, dues and/or assessments as shall be proposed by the Board and approved by quorum vote, will be payable by December 31st. Any dues paid after December 31st, shall be $30.00 per year. . 10. PLACE AND TIME OF MEETING: The place and time of meeting shall be set by the Board of Directors.
11. RULES OF ORDER: Robert's Rules of Order shall be set by the Board of Directors.
12. ORDER OF BUSINESS: The following items of business will be covered at all regular Meetings:
Call to order by the President. Reading of minutes of last meeting by Secretary Report of the Treasurer Unfinished business Report of the Committees New business Appointment of committees Adjournment
13. DISBANDMENT: If for any reason the club is disbanded, all monies left after all debts are paid shall be given to the American Cancer Society.
14. CODE OF CONDUCT: All members, guest and associate members shall abide by the following rules of conduct: (a). Refrain from the use of inappropriate language which is defined as language not generally accepted as suitable language to used in the presence of children and/or females. (b). Follow AMA safety rules at all times and on all occasions. (c). Alcoholic beverages, drugs and controlled substances are prohibited at or on any designated "for flying" premises and any violator(s) must leave said premises given by the attendant Marshall and if no attendant Marshall be present notice to leave given by any member of the
DeKalb Flyers Club who is in good standing and any such notice so given shall be sufficient notice to said violator (s) to leave said premises forthwith.
(d). Violators of these provisions shall not be entitled to vote at any meetings on alleged infractions wherein they have been charged.
15. SANCTIONS: Any intentional violator(s) of the code of conduct as set out in section 14 herein will be subject to suspension for a stated period of time up to thirty days but for repeated violators of said code of conduct who may be subject to suspension for a stated period of time u to thirty days but for repeated violators of said code of conduct who may be subject to permanent suspension from the DeKalb R.C Flyers Club at eh discretion of a committee of five duly nominated and appointed members of the R/C Flyers Club present at the next regularly scheduled club meeting or any subsequently scheduled club meeting held within ninety days after any alleged infraction. Members present and members who serve on any such committee must be in good standing in order to vote or serve on said committee.
Failure by the membership to act on any alleged infraction within ninety days after the date of the alleged infraction shall render the stated violation null and void. Any alleged violation observed by any member shall be put into writing and signed by said member and filed with the President within five calendar days thereafter who shall place said stated violation on the business agenda of the next regularly scheduled meeting. Failure by any member of the DeKalb R/C Flyers Club to report violations of rules of conduct as set out herein shall subject that member to the same sanctions as the violator(s) at the discretion of the conduct committee duly nominated and appointed as set out herein.
16. SUSPENSION: First offense - two weeks suspension, second offense - one month suspension, if suspended, you will be asked to turn in your key.
17. UNSUPERVISED CHILDREN: Your children should be well supervised by someone other than yourself while you are flying.
18. Gate Code: Gate Code is to be loaned to no one.
